Corporate Governance
The term "Corporate Governance" refers to the set of organizational processes, policies, laws, rules and regulations that govern the way a corporation is directed, administered or controlled.  Good governance is an effective instrument to increase value and to protect the investments of shareholders, as well as guarantee transparency.
The “Corporate Governance Code” , made available by the Committee for Corporate Governance, outlines the  principles applicable to Italian listed companies. The Code sets forth the principles for corporate management,  risk management and management of potential conflicts of interest that may arise between directors and shareholders, between majority and minority. 
 The system of Corporate Governance, adopted through the Code by the Dada S.p.A. Board of Directors on November 9, 2006,  complies with the “Corporate Governance Code” for Italian listed companies and the “Testo Unico della Finanza”  (Legislative Decree n. 58/1998) as well as international best practices.
 
In accordance with the “Istruzioni al Regolamento di Borsa Italiana”, the “Testo Unico della Finanza” and the  “Regolamento Emittenti di Consob.”, the annual  Corporate Governance report shall be transmitted and filed at Borsa Italiana S.p.A. . The report shall be available both at the company’s offices, as well as in the Investor Relations section of the present, website within the terms provide by law.
