DADA ACQUIRES SPLINDER AND MOTIME
GAINING LEADERSHIP IN THE BLOG SEGMENT

With the total  acquisition of Tipic Inc., the company which owns the brands Splinder and Motime, Dada has strengthened  its international presence ion the web and in mobile community & entertainment services, connecting over 7 million users of the dada.net community with one of the largest and most evolved Blogging Communities worldwide.

Through the brands Splinder (www.splinder.com) and Motime (www.motime.com), Tipic manages approximately 220 thousand active Blogs and accounts for 320 thousand registered users with an addition of almost 12 thousand new users per month. It also has over 5.2 million monthly unique visitors and registers 35 million page views per month.


Florence, October 12, 2006 – Dada, listed on the Italian Stock Exchange (DA.MI), leader in the web and mobile community & entertainment sector, has today finalised an agreement for the total acquisition of Tipic Inc., through its subsidiary Dada US Inc.   

The acquisition of Tipic represents a strategic operation in one of the segments of the internet offering the greatest opportunities for growth in the coming years, in line with the worldwide consolidation currently taking place in the social networking and UGC (user generated content) segments. The operation also increases the Group’s know-how, technological assets and user base, with a view to optimising the convergence between web and mobile, i.e. the strength of Dada.

Tipic, headquartered in New York City, is a leading international player in the Blog Community segment through its brand Splinder (www.splinder.com), undisputed blog leader in Italy and one of the richest resources for user generated content in the Italian market, and Motime (www.motime.com), the leading service in the same sector in the American market. Today Tipic manages approximately 220 thousand active Blogs and counts 320 thousand registered users with an addition of almost 12 thousand new users per month. It also has over 5.2 million monthly unique visitors and registers 35 million page views per month.

Splinder, in particular, was the first operator in Italy to offer blogging and community services, driving and guiding the development of “blogging” in the Italian market. Originally a simple system for the creation of text blogs, Splinder over time enriched its features and today it offers one of the most complete and advanced services worldwide for the creation and management of blogs. Thanks to an extremely evolved technological platform, Splinder offers its users a complete range of instruments for the management and sharing of various media content, such as photos, audio and video registrations via pc, mobile, email, mms and sms, also providing space to share and interact, accessible via web and mobile. 

The total acquisition of the share capital of Tipic Inc. by Dada US Inc. is for a total cash payment of Euro 4.5 million, 35% payable today and the balance in 12 months. There is also an earn-out of Euro 450 thousand which will be recognised in one year subject to certain conditions. In the fiscal year 2005 (April 05 - April 06) Tipic recorded sales of approximately Euro 90 thousand and a break-even result.

It is noted that the previous forecasts communicated by Dada to the financial community did not take into account the impact of any acquisitions and that any relevant impact of the present transaction on the guidance will be communicated where necessary.
