Dada’s holding in Register.it S.p.A.
increases to 100%
Furthering the strategy of focusing on the higher added value core businesses – scalable and automated services, accessible via web and mobile – Dada has completed the purchase of Register.it S.p.A., the leader in Italy in the management of the Internet presence of individuals and businesses, acquiring the minority shareholding of the company, equal to 3%.
Milan, July 21, 2006 – Dada S.p.A. (MTAX of the Italian Stock Exchange: DA.MI) today completed the agreement for the purchase of 3% of Register.it S.p.A., the remaining share capital of the company held by four professional individuals with long-term experience within the Group and whose relationship will remain unchanged.
Following this agreement, DADA will hold 100% of Register.it S.p.A. (www.register.it), the first Italian operator accredited by ICANN - the international body that awards the Internet technical management on a worldwide basis. Register.it S.p.A. currently boasts over 250,000 active domain names, 250,000 premium emails managed and over 120,000 web sites hosted on its evolved hosting solutions.
The acquisition of the 3% of the share capital of Register.it S.p.A. will be made through the payment to the four aforementioned professional individuals of a total cash price of Euro 600 thousand, to be paid by September 30, 2006 on the signing of the final sales contract of the shares.
In 2005 Register.it S.p.A. recorded sales of Euro 7.1 million, an Ebitda of Euro 2.6 million and an Ebit of 1.5 million. At December 31, 2005, the net equity of the company was Euro 6.7 million and the NFP was Euro 6.9 million.
